END USER LICENSE AGREEMENT (EULA) FOR WEBSITE DEVELOPMENT
This End User License Agreement ("Agreement") is entered with unisoftwares
(hereinafter referred to as the "Developer" or "Company")
and

1. Website Development:
1.1 The Developer agrees to design and develop a website for the Client in accordance with the specifications outlined in Exhibit A attached hereto.
2. License Grant:
2.1 The Developer grants the Client a non-exclusive, non-transferable license to use the developed website for its internal business purposes.
3. Payment:
3.1 The Client agrees to pay the Developer a total sum of $600 for the website development service.
3.2 The payment shall be made in twelve monthly installments of $50 each, payable via autopay, over a period of one year.
4. Auto-Renewal and Cancellation:
4.1 The monthly payments will automatically renew for successive one-month periods unless the Client cancels the autopay before the end of the one-year commitment.
4.2 The Client may cancel the autopay after the initial one-year commitment with written notice to the Developer.
4.3 If the Client cancels the autopay before the end of the initial one-year commitment, the Client shall be liable to pay the remaining balance of the total sum of $600 for the website development service. In the event of non-payment, the Developer reserves the right to terminate access to the developed website.
5. Ownership and Intellectual Property:
5.1 The intellectual property rights to the developed website, including but not limited to copyrights and trademarks, shall remain the property of the Developer until full payment is received.
6. Client Responsibilities:
6.1 The Client agrees to provide timely feedback and necessary materials required for the website development.
6.2 The Client is responsible for providing accurate and up-to-date information for inclusion in the website.
7. Maintenance and Support:
7.1 The Developer agrees to provide basic maintenance and support for the website for a period of 90 days from the completion date.
8. Confidentiality:
8.1 Both parties agree to keep confidential any proprietary information and trade secrets shared during the course of the website development.
9. Limitation of Liability:
9.1 In no event shall the Developer be liable for any indirect, consequential, or special damages arising out of or in connection with the use of the developed website.
10. Governing Law:
10.1 This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].
11. Entire Agreement:
11.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written, relating to the subject matter herein.

 
EXHIBIT A - WEBSITE DEVELOPMENT SPECIFICATIONS
1. Website Features:
1.1 The developed website will include the following features:

• Contact Us Page: [Describe features and components]
• Additional Pages: [Specify any other pages or features]
2. Design and Layout:
2.1 The website will have a modern and responsive design that is compatible with major web browsers.
2.2 The color scheme and branding will align with the Client's existing branding guidelines.
3. Content Management System (CMS):
3.1 The website will be built on a user-friendly CMS that allows the Client to update and manage content easily.
4. Mobile Responsiveness:
4.1 The website will be fully responsive to ensure optimal viewing on various devices, including smartphones and tablets.
5. Deadline for Delivery:
5.1 The Developer agrees to deliver the completed website to the Client within one business day from the date the Client submits the required information and fills out the provided requirement form.
6. Client Requirement Form:
6.1 The Client agrees to promptly fill out and submit the requirement form provided by the Developer. The form will include, but is not limited to, information on:
• Branding and color preferences
• Content for each page
• Specific features or functionalities required
• Any other relevant details necessary for website development
6.2 Failure to provide the necessary information within 10 days may result in a delay in the delivery of the website.
7. Approval and Revisions:
7.1 The Client will have the opportunity to review the website and request reasonable revisions within [X] days of delivery.
7.2 Any additional features or revisions outside the scope of this Exhibit may be subject to additional charges.
8. Acceptance:
8.1 The Client's acceptance of the completed website will be communicated in writing or via email.
